According to the resolution of the Management Board of voestalpine AG dated January 21, 2011, the Division Special Steel (voestalpine Edelstahl GmbH) to which Villares Metals International B.V. is a 100% daughter company, following amendment is applicable:
Amendment to the General Conditions applicable to the sale and delivery of products by Villares Metals International B.V. as fixed at the Chamber of Commerce of Dordrecht:
The customer (representation by the customer) is aware of
(i) the Regulation (EC) No 961/2010 on restrictive measures against Iran replacing Regulation (EC) No 423/2007,
(ii) the U.S. Iran Sanction Act of 1996, as amended by the Comprehensive Iran Sanction, Accountability, and Divestment Act 2010,
(iii) similar regulations and statutory provisions in this respect in place globally and
(iv) our group policy to control that none of our products are delivered into the oil and gas industry of the Islamic Republic of Iran (collectively “Regulations”).
The customer will fully obey these Regulations no matter if they are applicable on him or not and will not deliver the products, directly or indirectly, into the oil and gas industry of the Islamic Republic of Iran or resell the products to anyone he knows will do so or to circumvent this agreement in any other way.

Villares Metals has its line of Super Duplex Stainless Steels for Oil and Gas qualified by the NORSOK standards.
Villares Metals has been certified by the NORSOK Standards, through the renown Teknologisk Institutt of Norway, as a qualified manufacturer of Super Duplex stainless steels, in compliance with the M650 Standard Revision 3. The NORSOK standards were developed by the Norwegian oil segment industries to normalize and ensure minimum requirements for this application Field.
The qualification is valid for the whole SAFRAN Group, an international high technology organization that works in the aerospace propulsion sectors, aerospace and defense security equipment, of which Messier-Dowty is part of, and that includes materials for machinery and for forged parts with diameters of up to 295mm for the 300M classes per MTL 1201 issue 4 and for other steel grades in which the material specifications do not demand fatigue properties.
Villares Metals was granted the NADCAP (National Aerospace and Defense Contractors Accreditation-Program) accreditation.
NADCAP is run by the non-profit organization Performance Review Institute (PRI). According to PRI, NADCAP is a quality standard of a very high level, introduced by the largest aerospace manufacturers such as Airbus, Boeing, Rolls Royce, Safran, Goodrich.
After the initial step of modernization and grouping of all facilities in only one plant, Villares Metals SA has been continuing the investments to complement total modernization of Sumare plant.
Conventional melting shop: To fulfill all increase of capacity of the plant production and to modernize the melting refining process of the electric arc furnaces, the melting shop received important investments:
► Increasing capacity by enlargement of the EAF-I► Foam-slag process and automatic slag removal system
► Improved ingot pouring lay-out
► Revamp and additional mold size for the billet continuous casting machine
Acquisition of new 4.000 tons forging press: This investment is already in progress to start operation in 2009. The new forging press will increase the total capacity of forged bars and forged profiles by open die from 40.000 to 50.000 tons per year. Complementary re-heating and heat treatment furnaces will be also installed.
Pit furnace plus facilities improvements of the blooming rolling mill: In order to increase capacity and to improve process capability for rolled bars up to Rd 180,00 mm, a new revamp is in progress in the blooming rolling mill. The operation in fully capacity of the equipment requires new re-heating pit-furnace. The Villares Metals guiding principles regarding environment protection required the use of natural gas regenerated class flames. A new electric motor increased power of the equipment will complement the reforming, for total capacity of 12.000 tons per year of finished rolled bars of specialty steel and Nickel base alloys from Rd 77,00 to Rd 180,00.
Special melting shop process-ESR: By the increasing participation in the specialty steels and nickel base alloys market, the company decided to increase capacity for re-melted production process: a new set of VIM melting furnace and ESR re-melting furnace were installed to double capacity of production. New furnaces started operation in March’08 to delivery additional 1200 tons per year of finished bars.
After complement of this investment phase, the plant will be prepared to produce in 2010 a total capacity of 110.000 tons per year. The Villares Metals production is about 50% shared between internal Brazilian market and exporting market to Europe, North America and South America. Supplied market segments are chemical, petrochemical, oil & gas, aerospace, and automotive. Quality homologations and quality excellence programs are continuously in progress to make the company able to participate in the worldwide market of specialty products.
